1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Waveion Technologies ("Company," "we," "us," or "our") concerning your access to and use of the CAASTV platform and related services.

By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

Important: If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Services

Waveion Technologies provides the following services through the CAASTV platform:

  • CAASTV Flow: live video encoding and transcoding services
  • CAASTV Root: origin server and packaging solutions
  • CAASTV Trunk: content delivery network services
  • CAASTV CMS: video content management system
  • CAASTV TV App: multi-platform OTT applications
  • Professional services, consulting, and technical support

We reserve the right to modify, suspend, or discontinue any part of the services at any time with reasonable notice.

3. Account Registration

3.1 Account Creation

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

3.2 Account Eligibility

You must be at least 18 years old and capable of entering into legally binding contracts to use our services. Business accounts must be registered by authorized representatives.

4. Acceptable Use Policy

You agree to use our services only for lawful purposes. You shall NOT:

  • Upload, transmit, or distribute content that infringes intellectual property rights
  • Stream or distribute content without proper licensing or authorization
  • Transmit harmful, offensive, or illegal content
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the integrity of our services
  • Use the services for any fraudulent or deceptive purpose
  • Resell or redistribute our services without authorization
  • Violate any applicable laws, regulations, or third-party rights

Warning: Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

5. Content and Intellectual Property

5.1 Your Content

You retain all rights to the content you upload or transmit through our services. By using our services, you grant us a limited, non-exclusive license to process, transmit, and store your content solely for the purpose of providing the services.

5.2 Our Intellectual Property

All intellectual property rights in the CAASTV platform, including software, designs, trademarks, and documentation, are owned by Waveion Technologies. You are granted a limited, non-exclusive, non-transferable license to use the services during the term of your subscription.

5.3 Feedback

Any feedback, suggestions, or ideas you provide about our services may be used by us without any obligation to compensate you.

6. Payment Terms

6.1 Fees and Billing

  • Fees are specified in your service agreement or order form
  • All fees are quoted in the agreed currency and are exclusive of taxes unless stated otherwise
  • Payment is due within 30 days of invoice date unless otherwise agreed
  • We reserve the right to modify pricing with 30 days' notice

6.2 Late Payments

Overdue payments may incur interest at 1.5% per month. We may suspend services for accounts with outstanding balances exceeding 30 days.

6.3 Refunds

Refunds are handled on a case-by-case basis. Monthly subscriptions may be cancelled with 30 days' notice. Setup fees and custom development charges are generally non-refundable.

7. Service Level Agreement

For enterprise customers, service level commitments are defined in separate SLA documents. General availability targets:

  • Platform availability: 99.9% uptime target
  • CDN availability: 99.95% uptime target
  • Support response: based on severity and support tier

Scheduled maintenance windows are communicated in advance and excluded from availability calculations.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • We shall not be liable for loss of profits, data, business opportunities, or goodwill
  • We shall not be liable for any third-party claims against you

These limitations apply regardless of the theory of liability (contract, tort, or otherwise).

9. Indemnification

You agree to indemnify, defend, and hold harmless Waveion Technologies, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the services, your violation of these Terms, your violation of any third-party rights, or your content transmitted through the services.

10. Termination

10.1 Termination by You

You may terminate your account at any time by providing written notice. Termination does not relieve you of any payment obligations for services already rendered.

10.2 Termination by Us

We may terminate or suspend your account immediately if you breach these Terms, fail to pay fees when due, engage in fraudulent or illegal activity, or become insolvent or file for bankruptcy.

10.3 Effect of Termination

Upon termination, your right to use the services ceases immediately. We may delete your data after a 30-day grace period unless legally required to retain it.

11. Dispute Resolution

Any disputes arising from these Terms shall be resolved as follows:

  • Negotiation: parties shall first attempt to resolve disputes through good-faith negotiation
  • Mediation: if negotiation fails, parties may pursue mediation
  • Arbitration: unresolved disputes shall be settled by binding arbitration in accordance with applicable arbitration rules

These Terms shall be governed by the laws of India, without regard to conflict of law principles.

12. General Provisions

  • Entire agreement: these Terms constitute the entire agreement between you and us regarding the services
  • Severability: if any provision is found unenforceable, the remaining provisions shall continue in effect
  • Waiver: failure to enforce any right does not constitute a waiver of that right
  • Assignment: you may not assign these Terms without our prior written consent
  • Force majeure: neither party shall be liable for delays caused by circumstances beyond reasonable control

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through our platform with at least 30 days' notice. Your continued use of the services after changes take effect constitutes acceptance of the modified Terms.
